Kelley McIlhattan represents clients on a range of corporate and business transactions, including mergers and acquisitions, divestitures, private placements, and corporate restructurings and reorganizations. She advises clients across a variety of industries, with a particular focus on the energy sector, where she has experience across the full oil and gas value chain, including upstream, midstream, and downstream.

Kelley also advises clients on day-to-day corporate and commercial matters, including entity formation, operating agreements and other governance documents, employment and consulting agreements, confidentiality agreements, master services agreements, and equity incentive arrangements. Kelley also assists clients in managing and resolving business disputes, including through the preparation of demand letters and settlement agreements.

Prior to joining the firm, Kelley worked as an energy transactional associate in the Houston office of an international law firm, where she focused her practice on acquisitions and divestitures and energy projects.
